User Submissions License
You understand and agree that User Submissions are not confidential. By providing any User Submission, you grant ECLA and its service providers a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and non-exclusive license to use, reproduce, modify, adapt, translate, perform, display, distribute, and otherwise disclose to third parties such User Submission, in whole or in part, in any form, media, or technology now known or hereafter developed, for any lawful purpose, without compensation to you.
To the maximum extent permitted by law, you waive any moral rights or similar rights in User Submissions, including any rights of attribution or integrity.
Monitoring; Enforcement; Suspension and Termination of Access

Governing Law and Jurisdiction

Any action or proceeding arising out of or relating to this Website or these Terms and Conditions shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and each party irrevocably submits to the exclusive jurisdiction of such courts and waives any objection to venue or any claim of forum non conveniens.
Waiver
No failure or delay by ECLA in exercising any right, remedy, power, or privilege arising from these Terms and Conditions shall operate as a waiver thereof. No single or partial exercise of any right, remedy, power, or privilege shall preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
Severability
If any provision of these Terms and Conditions is determined to be invalid, illegal, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with the Privacy Policy, constitute the sole and entire agreement between you and ECLA regarding this Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
